  JUDGMENT

The Claimants, 107 in number, instituted this suit vide a Complaint filed on 21st February 2021 wherein they claimed the following reliefs against the defendants:

1.        A Declaration that the employment of the Claimants in this suit subsists and can only be determined by compliance with the terms of their contract and extant labour laws in Nigeria.

2.        A Declaration that the Claimants (excluding the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th Claimants who were due for retirement as at 31st December 2020) monthly net salary is in the total sum of N3,096,653.01 (Three Million, Ninety Six Thousand, Six Hundred and Fifty Three Naira, One Kobo).

3.        A Declaration that the Defendants are indebted to the Claimants in the total net sum of N376,794, 245.24 (Three Hundred and Seventy-Six Million, Seven Hundred and Ninety-Four Thousand, Two Hundred and Forty-Five Naira, Twenty-Four Kobo) representing total arrears of salaries owed the Claimants as at 31st December, 2020.

4.        An Order directing the Defendants to pay forthwith the total net sum of N376,794, 245.24 (Three Hundred and Seventy-Six Million, Seven Hundred and Ninety-Four Thousand, Two Hundred and Forty-Five Naira, Twenty-Four Kobo) being the total net arrears of salaries owed the Claimants as at 31st December, 2020.

5.        An Order directing the Defendants to pay the sum of N3,096,653.01 (Three Million, Ninety-Six Thousand, Six Hundred and Fifty-Three Naira, One Kobo) as monthly salaries to the Claimants (excluding the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th Claimants who were due for retirement as at 31st December, 2020) from January, 2021 till the determination of the Claimants' employment.

6.        An Order directing the Defendants to remit union check off deductions from the Claimants salaries in the total sum of N12,163,049.9 (Twelve Million, One Hundred and Sixty Three Thousand, Forty Nine Naira, Nine Kobo) representing union dues deductions from Claimants' salaries from August, 2011 to 31st December, 2020 to Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE) being the trade union entitled to remission of their union check off deduction.

7.        An Order directing the Defendants to remit monthly the total sum of N100,795.59 (One Hundred Thousand, Seven Hundred and Ninety Five Naira, Fifty Nine Kobo) representing union dues deductions from Claimants' salaries from January, 2021 to Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE) being the trade union entitled to remission of their Union check off deductions.

8.        Cost of this action in the sum of N10,000,000.00

 

CASE OF THE CLAIMANTS

In the statement of facts, the claimants reply to the statement of defence and in the evidence adduced by the 2nd claimant who testified on behalf of all the claimants, the case of the claimants is as follows: The 1st Defendant is an agency of the 2nd Defendant and the salary structure in the 1st Defendant is as approved under the Minimum Wage for Kogi State Public Service as set out in the Circular for approval of the implementation of pay Relativity for Kogi State worker dated 6th June 2011 and Circular for implementation of Eighteen Thousand Naira Minimum wage in Kogi State Public Service dated 2nd December 2011. The implementation of pay Relativity for Kogi State Public Service commenced on the 1st June 2011. While the implementation of Eighteen Thousand Naira Minimum wage in Kogi State Public Service commenced on the 1st December 2011. Apart from implementing the transportation policies of Kogi State, the 1st Defendant is a revenue generating agency of the 2nd Defendant. The 1st Defendant's generated revenues and expenditures are captured in the annual budgets of Kogi State government. Again, the 2nd Defendant appoints Commissioners that superintend the management of the 1st Defendant and employ/deploy public servants for the Performance of its mandate. Thus, workers in the 1st Defendant are in the public service of Kogi State government.

 

On 30th June 2011, the 2nd Defendant directed the lock-out of the Claimants from their duty post and offices. The 2nd Defendant further directed that a notice be pasted on the 1st Defendant's Notice Board to the effect that all the workers should proceed on compulsory leave and ordered that the gates, offices and parks of the 1st Defendant be locked and keys returned to it. No formal communication was issued to the Claimants on the reason for the alleged compulsory leave and lockout till date. Before the lock out, the claimants performed their duties in accordance with the terms of their contract and they were not found wanting in any manner to warrant any disciplinary measure of compulsory leave. The lock-out of the claimants and the directive of the 2nd Defendant that the claimants proceed on compulsory leave is contrary to the terms of the claimants’ contracts and it constitutes unfair labour practice and violates international best labour practice. The claimants’ salaries were owed before the lock out and continued to be owed after the lock out till date.

 

The 1st Claimant is the General Manager of the 1st Defendant on salary grade level 17 Step 9. He was employed on the 8th January 2001 and was due for retirement on the 3rd March, 2013. His net monthly salary from June 2011 to November 2011 is the sum of N140,980.85 and from December 2011 to 3rd March 2013 is the sum of N398,092.21. The 1st Claimant was born on the 3rd March 1953 and became due for retirement on the 3rd March, 2013. The 1st Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N563,923.40. The cumulative salary from December, 2011 to 3rd March, 2013 under implementation of Eighteen Thousand Naira Minimum Wage is the sum of N6,369,475.36. The total net salary owed the 1st Claimant as at the due date for his retirement from public service is the total net sum of N6,933,398.76. The 2nd claimant, CW1, is on salary grade level 13 step 6. He was employed on the 24th May 1994 and rose to the position of Finance Manager in 2008. His net monthly salary from June, 2011 to November, 2011 is the sum of N64,722.11 and from December, 2011 to date is the sum of N103,232.47. The 2nd claimant’s cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N258,888.44 and his cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N11,252,339.23. The total net salary owed to the 2nd claimant is the sum of N11,511,227.67. The 3rd Claimant is the Operations Manager of the 1st Defendant on salary grade level 13 step 5. He was employed on the 4th July, 1991 by Kwara State Transport Corporation. Upon the creation of Kogi State in 1991, the employment was transferred to Kogi State Civil Service and was posted to the 1st Defendant where he rose to become Operations Manager in 2008. His net monthly salary from June, 2011 to November, 2011 is the sum of N62,685.11 and from December, 2011 to date is the sum of N99,133.91. The 3rd Claimant's cumulative net salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N250,740.44. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum wage salary structure is the sum of N10,805,596.19. The total net salary owed the 3rd claimant is the sum of N11,056,336.36. The 4th Claimant is the Acting Company Secretary of the 1st Defendant on salary grade level 10 Step 4. He was employed on the 4th December, 2003. His net monthly salary between June, 2011 to November, 2011 is the sum of N46,727.19 and from December, 2011 to date is the sum of N73,175.12. The 4th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N186,908.76. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N7,976,088.08. The total net salary owed the 4th claimant is the sum of N8,162,996.84.

 

The 5th Claimant is a Security Guard in the 1st Defendant on salary grade level 2 Step 2. He was employed on the 3rd November, 2010. His net monthly salary between June, 2011 to November, 2011 is the sum of N13,998.51 and from December, 2011 to date is the sum of N17,229.63. The 5th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N55,994.04. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum wage salary structure is the sum of N1,878,029.67. The total net salary owed the Claimant is the sum of N1,934,023.71. The 6th Claimant is an Executive Officer, Administration in the 1st Defendant on salary grade level 7 Step 4. He was employed on the 10th May, 2006. His net monthly salary between June, 2011 to November, 2011 is the sum of N28,069.00 and from December, 2011 to date is N43,066.72. The 6th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N112,276.00. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N4,694,272.48. The total net salary owed the Claimant is the sum of N4,806,548.48. The 7th Claimant is a Clerical Officer, Administration in the 1st Defendant on salary grade level 4 Step 8. He was employed on the 5th May, 2004. His net monthly salary between June, 2011 and November, 2011 is the sum of N17,774.34 and from December, 2011 to date is the sum of N22,152.58. The 7th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N71,097.36. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N2,414,631.22. The total net salary owed the Claimant is the sum of N2,485,728.58. The 8th Claimant is a Security Guard in the 1st Defendant on salary grade level 4 Step 9. He was employed on the 18th November, 2002 and was due to retire on 13th April, 2016. His net monthly salary between June, 2011 to November, 2011 is the sum of N18,254.14 and from December, 2011 to 13th April, 2016 is N22,782.63. The 8th Claimant was due for retirement on the 13th April, 2016. His cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N73,016.56. The cumulative salary from December, 2011 to 3rd March, 2013 under implementation of Eighteen Thousand Naira Minimum Wage is the sum of N1,207,479.39. The total net salary owed at the due date for his retirement from public service is the total sum of N1,280,495.95. The 9th Claimant is a Cleaner in the 1st Defendant on salary grade level 3 Step 7. She was employed on the 4th March, 2004. Her net monthly salary between June 2011 and November 2011 is the sum of N16,254.53 and from December, 2011 to date is N20,157.05. The 9th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N65,018.12. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N2,197,118.45. The total net salary owed the 9th claimant is the sum of N2,262,136.57. The 10th Claimant is a Cleaner in the 1st Defendant on salary grade level 3 Step 7. She was employed on the 13th November, 2003. Her net monthly salary between June 2011 and November 2011 is the sum of N16,254.53 and from December, 2011 to date is N20,157.05. The 10th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N65,018.12. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum wage salary structure is the sum of N2,197,118.45. The total net salary owed the 10th claimant is the sum of N2,262,136.57

 

The 11th Claimant is a Cleaner in the 1st Defendant on salary grade level 2 Step 5. She was employed on the 29th November, 2007. Her net monthly salary between June, 2011 and November, 2011 is the sum of N14,988.55 and from December 2011 to date is N18,509.60. The 11th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N59,954.20. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N2,017,546.40. The total net salary owed the 11th Claimant is the sum of N2,077,500.60. The 12th Claimant is a Cleaner in the 1st Defendant on salary grade level 2 Step 6. She was employed on the 30th June, 2006. Her net monthly salary between June, 2011 to November, 2011 is the sum of N15,818.56 and from December, 2011 to date is N18,936.30. The 12th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N63,274.24. The total net salary owed is the sum of N2,626,910.29. The 15th Claimant is an Assistant Executive Officer Administration in the 1st Defendant on salary grade level 6 Step 7. She was employed on 10th December, 2002. Her net monthly salary between June, 2011 to November, 2011 is the sum of N23,184.44 and from December, 2011 to date is N28,442.82. The 15th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N92,737.76. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary Structure is the sum of N3,100,267.38. The total net salary owed is the sum of N3,193,005.14.

 

The 16th Claimant is a Cleaner in the 1st Defendant on salary grade level 5 Step 5. She was employed on the 23rd June, 2005 and was due to retire on the 13th April, 2016. Her net monthly salary between June, 2011 and November, 2011 is the sum of N18,282.67 and from December, 2011 to 13th April, 2016 is N22,007.62. The 16th Claimant was due for retirement on the 13th April, 2016. Her cumulative salary from August, 2011 to November, 2011 under implementation of pay Relativity salary structure is the sum of N73,130.68. The cumulative salary from December, 2011 to 13th April, 2016 under implementation of Eighteen Thousand Naira Minimum Wage is the sum of N1,166,350.86. The total net salary owed at the due date for her retirement from public service is the total sum of N1,238,481.54. The 17th Claimant is a Security Guard in the 1st Defendant on salary grade level 3 step 3. He was employed on the 8th July, 2009 and was due to retire on the 10th January, 2020. His net monthly salary between June, 2011 and November, 2011 is the sum of N14,637.04 and from December, 2011 to 10th January, 2020 is N18,059.31. The 17th Claimant was due for retirement on the 8th July, 2013. His cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N58,548.16. The 105th Claimant is an Executive Officer (Accounts) on salary grade level 8 step 6. He was employed on the 6th May, 1994. His net monthly salary from June, 2011 to November, 2011 is the sum of N37,006.95 and from December, 2011 to date is N56,790.50. The 105th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N148,027.80. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N6,190,164.50. The total net salary owed is the sum of N6,338,192.30.

 

The 106th Claimant is a Booking Clerk on salary grade level 4 Step 8. He was employed on the 27th August, 2003. His net monthly salary from June, 2011 to November, 2011 is the sum of N17,774.34 and from December, 2011 to date is N22,152.58. The 106th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N71,097.36. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage salary structure is the sum of N2,414,631.22. The total net salary owed is the sum of N2,485,728.58. The 107th Claimant is a Security Guard on salary grade level 3 Step 8. He was employed on the 28th November, 2002. His net monthly salary from June, 2011 to November, 2011 is the sum of N16,653.94 and from December, 2011 to date is N20,681.45. The 107th Claimant's cumulative salary from August, 2011 to November, 2011 under implementation of Pay Relativity salary structure is the sum of N66,615.76. The cumulative net salary from December, 2011 to December, 2020 under implementation of Eighteen Thousand Naira Minimum Wage Salary Structure is the sum of N2,254, 278.05. The total net salary owed is the sum of N2, 320, 893.81.

 

The claimants’ salaries were not paid from January, 2011 leading to backlog and arrears of salaries. By September, 2011 they were owed 9 months' salary arrears. The 2nd Defendant however, directed the payment of 7 months’ salary arrears in September, 2011 out of the 9 months arrears covering January, 2011 to July, 2011. Since that payment in September, 2011 the Defendants have continued to owe the claimants salaries till date and no effort has been made to pay the accumulated arrears of salaries. The Claimants have continued to wait for the 2nd Defendant to lift the lock out so that the claimants can return to their work till date. Since the lock-out and the pasting of the notice, the Defendants have not issued any formal communication in line with the terms of the claimants’ contract of employment. The claimants have been going to the 1st Defendant to resume work but the office remained under lock and the premises have been heavily guarded by law enforcement agents.

 

All the efforts of the Claimants to make the 2nd Defendant allow the Claimants to return to work were not successful. Also, the Defendants refused to comply with the resolution of the Kogi State House of Assembly which directed payment of arrears of salaries to the Claimants. Excluding the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 97th and 104th Claimants who were due for retirement as at 31st December, 2020, the claimants monthly net salary under the Eighteen Thousand Minimum wage salary structure is the total sum of N3,096,653.01. The Defendants are indebted to the claimants in the total net sum of N346,610,896.53 representing the claimant’s arrears of salaries from August, 2011 to December, 2020 excluding the salaries of the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 97th and 104th Claimants who were due for retirement as at 31st December, 2020. The Defendants are indebted to the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 97th and 104th Claimants in the net sum of N30,183,348.74 representing their salaries before their due date for retirement and expiration of contract. The total debt of the Defendants to the claimants is the net sum of N376,794,245.24 representing total arrears of salaries owed the Claimants as at 31st December 2020. The claimants did a table showing the computation of the arrears of salaries owed to each claimant.

 

The claimants also averred that they are all members of Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE) and that the Defendants ought to remit check off deductions from their salaries from August, 2011 to December, 2020 and any other time their salaries become due and payable. The total due deduction from the Claimants salaries as at 31st December, 2020 is the sum of N12,163,049.09 while the monthly check off deductions from January, 2021 is the sum of N100,795.59. The claimants also did a table showing the computation of the accrued check-off dues from the arrears of salaries of the Claimants. It was averred that the refusal of the Defendants to pay salaries and allowances to the Claimants amounts to down grading treatment and it has caused untold hardship to the claimants.

 

It is further the case of the claimants that the 2nd Defendant wholly owns the shares of the 1st Defendant and the names appearing on the CAC Form 2 (Statement of Share Capital) and CAC Form 7 (particulars of directors) of the 1st Defendant are names of the representatives of the 2nd Defendant at the incorporation of the 1st Defendant. The assets of the 1st Defendant belong to the 2nd Defendant and also the liabilities, including outstanding workers' salaries and allowances. The 2nd Defendant administers and controls the use of the operational vehicles of the 1st Defendant in the manner it pleases. The claimants’ employments in the 1st Defendant subsisted and has never been dismissed or terminated at any time before the commencement of this Suit. The 2nd Defendant only prevented the claimants from accessing their offices since 30th June 2011. The 1st Defendant forms part of the public service of Kogi State and the workers are public Servants of Kogi State Government. The 2nd Defendant posts/transfers workers from and to the 1st Defendant under inter-service transfers and secondments. The 1st Claimant was directed by the Commissioner for Commerce and Industry, Dr. Abubakar Abdulkareem, in his office on the directive of the Executive Governor of Kogi State to issue the notice and lock up the premises of the 1st Defendant. The Ministry of Commerce took over the assets of the Defendant some of which were auctioned by Kogi State Ministry of Finance and the proceeds of the sale remitted to the treasury of the Kogi State Government. Apart from the notice placed on the entrance of the 1st Defendant, none of the Claimants were served with any letter of compulsory leave but the law enforcement agents acted on the notice to prevent the Claimants from entry into the company premises. The 2nd Defendant, through its Ministry of Commerce and Industry, paid part of the arrears of salaries to the Claimants in 2011.

 

CW1 tendered several documents in evidence. They were admitted in evidence and marked from Exhibits KSTC 1A to KSTC 155B.

 

DEFENCE

In the initial statement of defence filed on 7th Marc 2022, it was indicated in it that it is the statement of defence of the 2nd and 3rd defendants. Also, in the amended statement of defence filed on 9th June 2022, it is indicated to be the statement of defence of the 2nd and 3rd defendants. It implies that the amended statement of defence filed on 9th June 2022 is the statement of defence of the 2nd and 3rd defendants. There is no other statement of defence filed for the 1st defendant. I observe from the record of proceedings that throughout the proceedings in this suit, the State Counsels who appeared for the defendants had always announced appearance for all the defendants. There was no time in this suit that the 1st defendant was not represented by counsel in this suit. That is to say while the 1st defendant did not file a statement of defence in the suit, it was represented by counsel in the suit.

 

The case of the 2nd and 3rd defendants, as pleaded in the amended statement of defence and narrated in the testimony of DW1, Olunde Segun Melo, the Director, Administration and Finance, Kogi State Ministry of Transport, is as follows: The Claimants are not the employees of the 2nd and 3rd Defendants and were not dismissed by the 2nd and 3rd defendants. The Claimants were employees of the Kogi State Transport Company. The 2nd and 3rd Defendants were never responsible for the employment, promotion or remuneration of the Claimants and as such cannot be held liable for their dismissal. It was averred that the 1st Defendant is a limited liability company incorporated under the Corporate Affairs Commission with RC No. 217043, with a perpetual succession and a common seal. The 1st Defendant is distinct from the 2nd and 3rd Defendants. The letter on implementation of pay relativity and minimum wage was not addressed to the Claimants but to Kogi State Government workers (civil servants) and not the Kogi State Transport Company. Also, the letter of 1st June, 2011 refers to Kogi State Public Service and not the 1st defendant. Though Kogi State was created in 1991, the employment of workers formerly with Benue Links and Kwara Transport were moved to Kogi Transport Company which was registered under the CAC on the 15th of March 1993 and not to the Public Service of Kogi State Government. The 2nd Defendant is a shareholder in Kogi Transport Limited and has the right to appoint a General Manager to manage the company whose pay or remuneration is paid by the company. There was no directive from Kogi State Government mandating the 1st claimant to send claimants on compulsory leave. The 2nd and 3rd Defendants are not responsible for their dismissal but was done by the company General Manager, who is the 1st Claimant, on behalf of the company as they have failed to show any letter or directive from the Head of Service or the Governor of Kogi State directing him to dismiss the workers or send them on compulsory leave.

 

The 2nd and 3rd Defendants are not responsible for the lock out and it is not the duty of the 2nd and 3rd defendants to provide the claimants work but that of the 1st Defendant. Kogi State Transport Company is a private Company Limited by shares and Kogi State Government is a shareholder in Kogi State Transport Company. The Kogi State Government contributes shares to the extent of its limited liability. Accordingly, it is expected that it would also benefit from the company's share of profit and benefits which is part of the reasons why it has the power to hire, fire or even transfer. More so, Kogi State Government just like any other state in Nigeria derives its major revenue from the Federal Government and can invest it as they wish. Kogi State Government being a shareholder has the power to transfer persons to assist in the management of the company from time to time.

 

I have read the various final written addresses of counsels. I do not see any reason to rehash their contents here. However, arguments proffered by counsels in their respective written addresses were duly considered and evaluated. Reference will be made to them as it becomes necessary in the course of this judgment

 

DECISION

From the averments in the statement of facts and the evidence of CW1, the claimants were all employed by the 1st defendant and they worked in the 1st defendant until June 2011 when the 2nd defendant directed that that the premises of the 1st defendant be locked and that a notice be pasted on the 1st Defendant's Notice Board to the effect that all the workers should proceed on compulsory leave. Pursuant to this directive, the notice was pasted and the office of the 1st defendant was locked up. The employment letters of the claimants were tendered in evidence and these letters clearly reveal that they were issued by the 1st defendant to employ the claimants. The case of the claimants is that since the date of notice to proceed on compulsory leave and the locking up of the 1st defendant’s premises, the claimants have not been recalled to return to work till date and no communication has been issued to the claimants in line with the terms of the claimants’ contract of employment. As a result, the claimants’ salaries were not paid from January, 2011 leading to backlog and arrears of salaries. By September, 2011 they were owed 9 months' salary arrears. On the directive of the 2nd Defendant, the claimants were paid 7 months’ salary arrears in September 2011 out of the 9 months arrears covering January 2011 to July 2011. Since the payment in September 2011, the claimants’ salaries have not been paid till date. For these reasons, the claimants claim in this suit is for the payment of their salaries from August 2011 to the date of filing the suit except some of the claimants who retired within the period.

 

By the pleadings of the claimants and the evidence of CW1, the employments of the claimants were not terminated at any time. They have only been away from work and their offices as a result of the notice to proceed on compulsory leave and the lock up of the premises of the 1st defendant. The 2nd and 3rd defendants denied being the employers of the claimant and said they were not responsible for the dismissal of the claimants. From the evidence of the parties, there is no evidence that the claimants’ employments with the 1st defendant were terminated in June 2011 when they were directed to proceed on compulsory leave and the premises of the 1st defendant was locked up.

 

The claim for payment of arrears of salaries was made against the defendants jointly. The claimants computed the arrears of salaries owed to each of them using the Pay Relativity Salary Structure and the Eighteen Thousand Naira Minimum Wage Salary Structure applicable to the public service of the 2nd defendant. However, the 2nd and 3rd defendants denied liability for the claims of the claimants and put the liability for payment of the claimants’ arrears of salary on the 1st defendant who employed the claimants. The germane issues to be determined from the claims of the claimants are these:

1.     Are the employments of the claimants in the 1st defendant, employments in the public service of Kogi State Government?

2.     Who is liable to pay the claimants their salaries for the period they have been put on compulsory leave?

 

In the evidence of CW1, he said the 2nd Defendant wholly owns the shares of the 1st Defendant which is an agency of the 2nd Defendant, and that workers in the 1st Defendant are in the public service of Kogi State Government. He also said the Claimants are public servants/employees of the 2nd Defendant serving in the 1st Defendant. On the other hand, the 2nd and 3rd defendants averred that the 1st Defendant is a limited liability company incorporated under the Corporate Affairs Commission with RC No. 217043, with a perpetual succession and a common seal. Although the 2nd defendant is a shareholder in the 1st defendant, the 1st Defendant is distinct from the 2nd and 3rd Defendants. They also averred that employees of the 1st defendant are not employed in the public service of the 2nd defendant.

 

It is not in dispute in this suit that the 1st defendant is an incorporated limited liability company. Exhibits KSTC 112, 155A and 155B are the CAC status report on the 1st defendant and forms CAC 2 (Statement of Share Capital) and CAC Form 7 (particulars of directors) of the 1st Defendant respectively. According to CW1, Mr. Isah Ichaba and Mr. Aliba Benson mentioned in forms CAC 2 and CAC Form 7 are the representatives of the 2nd Defendant at the incorporation of the 1st Defendant but the Shares of the company are not the properties of Mr. Isah Ichaba and Mr. Aliba Benson. In the statement of defence of the 2nd and 3rd defendants, they pleaded that the 2nd defendant, being a shareholder in the 1st defendant, contributes shares to the extent of its limited liability and it is expected that the 2nd defendant would also benefit from the company's share of profit and benefits which is part of the reasons why it has the power to hire, fire or even transfer. They also pleaded that the 2nd defendant, being a shareholder in the 1st defendant, has the power to transfer persons to assist in the management of the company from time to time. By these averments of the 2nd and 3rd defendants, they confirmed that the 2nd defendant owns shares in the 1st defendant and controls the affairs of the 1st defendant, including employees of the 1st defendant. In view of the nature of power the 2nd defendant exerts in the 1st defendant, as described by the 2nd and 3rd defendants, it is obvious that the 2nd defendant owns the controlling shares in the 1st defendant.

 

Section 318[1] of the Constitution of the Federal Republic of Nigeria (CFRN) 1999 [as amended] has defined the public service of a state to mean:

“The service of a state in any capacity in respect of the government of the state and it includes service as-

(g) Staff of any company or enterprise in which the government of a state or its agency holds controlling shares or interest”.

 

The fact that the 2nd defendant owns the controlling shares in the 1st defendant has made the service in the 1st defendant service in the public service of the 2nd defendant. Accordingly, I hold that employees of the 1st defendant, who are the claimants in this suit, are employees in the public service of the 2nd defendant.

 

The next question is who is liable to pay the claimants their salaries for the period they have been put on compulsory leave?

 

I have resolved earlier in this judgment that the claimants’ employments have not been terminated but only placed on “compulsory leave” since June 2011. Nothing has changed since then. The claimants are still on the compulsory leave. I have seen from the evidence of CW1, efforts the claimants have made to be recalled to perform their duties or be paid their salaries but all to no avail. I have no hesitation in holding that the claimants are entitled to be paid their salaries from the time they were forced to go on the compulsory leave. Having also concluded that the service of the claimants in the 1st defendant is service in the public service of the 2nd defendant, the 1st and 2nd defendants are responsible to pay the claimants’ arrears of their salaries from the time of the imposed compulsory Leave. The claimants, through CW1, has informed the court that they have even been paid 7 months’ salary arrears in September 2011 on the directives of the 2nd Defendant. This piece of evidence shows that the 2nd defendant is aware of its responsibility towards clearing the arrears of salaries of the claimants.

 

In paragraphs 235 and 236 of the statement of facts, the claimants computed and particularized the amounts of salary arrears due to each of the claimants. The 2nd and 3rd defendants’ denial of the averments in paragraphs 235 and 236 of the statement of facts is only to the extent that the 2nd defendant is not the employer of the claimants. The 1st and 2nd defendants have not challenged the computations in paragraphs 235 and 236 of the statement of facts. Taking the totality of the evidence of CW1 into consideration, I find that the claimants have proved the arrears of salaries of each of the claimants as computed and particularized in paragraphs 235 and 236 of the statement of facts. The total sum of the arrears of salaries for the claimants is the sum of N376,794,245.24 and this is the sum the claimants claim in relief 4 of the claims.

 

In reliefs 2 and 5, the claimants sought both a declaration and an order directing the defendants to be paying to the claimants, excluding the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th Claimants who have retired from service, the sum of N3,096,653.01 as monthly salaries from January 2021 till the determination of the Claimants' employment. I have found as a fact in this judgment that the employments of the claimants, except those who have retired between 2011 and to date, have not been terminated. The implication is that the employments of the claimants, except the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th claimants who are said to have retired, subsist till date. Accordingly, the claimants who are still in service are entitled to be paid salaries until such a time that their employments are validly terminated or they lawfully retire from service.

 

In relief 6, the claimants sought an order directing the Defendants to remit the total sum of N12,163,049.09, representing union dues deductions from the Claimants' salaries from August, 2011 to 31st December 2020, to the Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees, being the trade union entitled to the union check-off dues of the claimants. Similarly, in relief 7, the claimants sought an order directing the Defendants to remit the sum of N100,795.59 monthly to Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE) as the check-off dues of the Claimants from January 2021. In the statement facts, as well as in the evidence of CW1, the claimants averred that they are all members of Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees and that the Defendants ought to remit check-off deductions from their salaries from August, 2011 to December, 2020 and any other time their salaries become due and payable. The total due deduction from the Claimants salaries as at 31st December, 2020 is the sum of N12,163,049.09 while the monthly check-off deductions from January, 2021 is the sum of N100,795.59. The claimants did a table in paragraph 238 of the statement of facts showing the computation of the accrued check-off dues from the arrears of salaries of the Claimants.

 

Check-off dues are deducted from salaries of employees and remitted to the union to which the employees belong. When the claimants computed the arrears of their salaries in paragraphs 235 and 236 of the statement of facts, they did not indicate any deduction of check-off dues from the arrears of salaries of the claimants. The claimants computed the entire sum constituting salaries owed to them and the total sum is what they claimed in relief 4 of their claim. The implication is that the sum claimed by the claimant in relief 4 comprises the check-off dues which ought to have been deducted from the salaries.  Accordingly, the amount the claimants wanted the defendants to remit to the union in relief 6 is not an amount deducted from the arrears of salary as computed by the claimants. For this reason, this claim cannot be granted. To grant same will imply that it is the defendants who paid the check-off dues and not the claimants.

 

As for relief 7, having held that the claimants are entitled to be paid their salaries from January 2021 until the determination of their employments, they are also entitled to have the check-off dues deducted from their monthly salaries to be paid to them from January 2021 and remitted to Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE).

 

In concluding this judgment, I find merit in the suit of the claimants. Except relief 6 which is not proved and accordingly refused, reliefs 1, 2, 3, 4, 5 and 7 are granted. It is ordered as follows:

1.        It is declared that the employment of the Claimants subsists until determined in compliance with the terms of their contract of employment and the labour laws in Nigeria.

2.        It is declared that the monthly net salary of the Claimants, in exclusion of the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th Claimants who have retired from service, is the sum of N3,096,653.01.

3.        It is declared that the Defendants are indebted to the Claimants to the tune of N376,794,245.24 being the total arrears of salaries owed to the Claimants as at 31st December 2020.

4.        The defendants are ordered to pay the sum of N376,794,245.24 to the claimants being the total arrears of salaries owed the Claimants as at 31st December, 2020.

5.        The defendants are ordered to pay each claimant, excluding the 1st, 8th, 16th, 17th, 32nd, 41st, 51st, 65th, 67th, 68th, 75th, 86th, 89th, 97th and 104th Claimants who have retired from service, his or her salary for every month from January 2021 until such a time that the claimants lawfully retire from service or their employments are validly terminated.

6.        The defendants are ordered to deduct the monthly check-off dues from the salaries of the claimants who are still in service as from January 2021 and remit same to the Amalgamated Union of Public Corporation, Civil Service Technical and Recreational Service Employees (AUPCTRE).

7.        The sum of N1,000,000.00 is awarded as cost in favour of the claimants.

 

Judgment is entered accordingly.
